Our services include, but are not limited to, the preparation and submission of documents for business formation (e.g., Articles of Organization for LLCs, Articles of Incorporation for Corporations), Federal EIN applications, annual report filings, operating agreements, and other compliance-related documents as requested by you. We are a private company and are NOT affiliated with, endorsed by, or an agency of the North Carolina Secretary of State, the Internal Revenue Service (IRS), or any other federal, state, or local government entity.
2.2 Accuracy of Information Provided by You
You are solely responsible for the accuracy, completeness, and legality of all information you provide to us for the preparation and filing of any documents. We will use the information you provide to complete the forms. You agree to review all documents for accuracy before submission or authorizing us to submit them on your behalf.
2.3 No Legal, Financial, or Tax Advice
Business Compliance Organization NC is not a law firm or an accounting firm, and our employees are not attorneys or accountants. We do not provide legal, financial, or tax advice. The information and services provided are for informational and general guidance purposes only and should not be a substitute for consultation with a licensed attorney or financial/tax professional. 3. User Accounts and Responsibilities
3.1 Account Creation and Security
You may be required to create an account to access certain features of our Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

In addition to our service fees, you are responsible for paying all applicable government filing fees required by the North Carolina Secretary of State, the IRS, or other agencies. These fees will be clearly itemized. We may collect these government fees from you and remit them to the appropriate agency on your behalf, or we may direct you to pay them directly.
4.3 Payment Processing
We use third-party payment processors (e.g., WooCommerce, Heartland Payment Systems) to handle all payment transactions. By providing your payment information, you authorize us and our payment processors to charge the applicable fees to your selected payment method. You agree to abide by the terms and conditions of our payment processors.
4.4 Refund Policy
Our refund policy is detailed separately. Generally, service fees are non-refundable once we have commenced work on your request or submitted documents on your behalf, unless otherwise specified in our Refund Policy. Government filing fees are non-refundable once paid to the government agency, regardless of the outcome of the filing.
5. Intellectual Property
All content, features, and functionality on our website and within our Services, including text, graphics, logos, and software, are the exclusive property of Business Compliance Organization NC or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, or distribute any content from our Services without our prior written permission.
6. Disclaimer of Warranties
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR THAT DEFECTS WILL BE CORRECTED. WE MAKE NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICES. WE DO NOT GUARANTEE THAT ANY FILINGS MADE ON YOUR BEHALF WILL BE ACCEPTED OR APPROVED BY THE RELEVANT GOVERNMENT AGENCY, AS SUCH DECISIONS ARE AT THE SOLE DISCRETION OF THE AGENCY. DELAYS IN PROCESSING BY GOVERNMENT AGENCIES ARE BEYOND OUR CONTROL.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Business Compliance Organization NC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; (IV) ANY DELAYS, ERRORS, OR OMISSIONS BY GOVERNMENT AGENCIES; AND (V) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.
8. Indemnification
You agree to defend, indemnify, and hold harmless Business Compliance Organization NC, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that information you provided caused damage to a third party or a government agency. This defense and indemnification obligation will survive these Terms and your use of the Services.
9. Termination
We reserve the right to terminate or suspend your account and access to the Services, in our sole discretion, at any time and without notice or liability, for any reason, including but not limited to your breach of these Terms.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in North Carolina. You consent to the personal jurisdiction of such courts.
11. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.
